Lifetree Café Subscription Agreement and Terms of Use

1. Acceptance of Terms of Use

By purchasing the Lifetree Launch Kit and/or subscribing to the Lifetree Experience Kits, you accept and agree to the Terms of this Agreement and Terms of Use, which govern your use of Lifetree Café materials and trademarks. This Agreement and Terms of Use are an ongoing contract between you and Group Publishing, Inc. and apply to your use of Lifetree Café’s materials and trademarks. These Terms of Use affect your rights, and you should read them carefully.

(a) This Agreement and Terms of Use entitles the Subscriber to use the trademarks “LIFETREE,” “LIFETREE CAFÉ,” and various designs and logo types associated with the Lifetree Café services. The use of these Lifetree trademarks is limited to the promotion and offering of the official sixty-minute Lifetree Café experience during its designated month. Any unauthorized use or modifications to trademarks or logo types are prohibited without the express written consent of Group Publishing, Inc.

(b) This Agreement entitles the Subscriber access to operational procedures, training materials, and the Lifetree Café branch licensee website. These materials are proprietary and confidential and shall be used only by the Subscriber and may not be sold, given away, or loaned to others.

(c) This Agreement entitles the Subscriber to deliver the sixty-minute Lifetree Café experience as developed and in its entirety. Individual elements of the experience, script, or audiovisual matter may not be used outside of the entire official Lifetree Café sixty-minute experience or outside of its designated month. Modifications to Lifetree Café copyrighted content are prohibited.

(d) This Agreement entitles the Subscriber to deliver the Lifetree Café sixty-minute experience an unlimited number of times during the designated month.

(e) The Lifetree Café programming materials may not be copied, distributed, sold, or given away in whole or in part without written permission of Group Publishing, Inc.

(f) Group Publishing, Inc. grants to Subscriber permission to deliver the Lifetree Café experience at up to three locations that are owned, operated by, and fall under the responsibility of the Subscriber. This Agreement requires that the Subscriber has a single billing address and single ship-to address.

(g) This Agreement is not assignable or transferable.

2. Term of Agreement

(a) This Agreement will be in effect from the time that the Agreement is accepted until (1) it is terminated as provided for by this Agreement or by any addendum to this Agreement or (2) it is replaced by a revised Agreement.(b) You may terminate your Subscription at any time, with or without cause, by giving thirty days’ written notice to Group Publishing, Inc. You are responsible for all charges that have been incurred prior to your notice of termination.

(c) Group Publishing, Inc. reserves the right to change the terms of this agreement by giving the Subscriber thirty days’ written notice.

3. Fees and Expenses

(a) In accordance with this Agreement, Subscriber agrees to purchase the Lifetree Café Launch Kit at the current price.

(b) Subscriber agrees to purchase monthly Lifetree Café Experience Kits, which will be automatically shipped to Subscriber each month, according to the terms of this Agreement.

(c) Normal shipping charges of goods will be paid by the Subscriber.

4. Breach or Default

(a) Upon any breach or default by Subscriber of any term or condition herein contained, Group Publishing, Inc. may terminate this Agreement by giving Subscriber thirty days’ notice to cure such breach or default, and in the event that such breach or default has not been cured within said thirty days, this Agreement shall terminate on the expiration of such thirty-day period without further notice from Group Publishing, Inc. In the event of such termination, Subscriber forfeits any fees paid in advance. Subscriber must also immediately cease displaying or using any Lifetree-branded materials.

(b) Group Publishing, Inc. shall not be liable to the Subscriber or any other party on account of any personal injuries or property damage sustained by Subscriber or any third party. The Subscriber shall indemnify and hold harmless Group Publishing, Inc. from any and all liability, claims, losses, costs, and expenses.

5. Applicable Law

This Agreement shall be construed and interpreted in accordance with, and its performance governed by, the laws of the State of Colorado.

6. Return Policy

If Subscriber does not agree with the Terms of Use, then upon the receipt of the Lifetree Launch Kit or Lifetree Experience Kit, such materials may be returned for a full refund under the Group Publishing, Inc. customer return policy.
